1. Agreement to Terms
These Terms of Service ("Terms") govern your use of the DayLine platform, website, and services (collectively, the "Service") operated by DayLine ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
If you are using the Service on behalf of a business or legal entity, you represent that you have authority to bind that entity to these Terms.
2. Description of Service
DayLine provides temporary proxy phone numbers for field service businesses. The Service enables:
- Creation of proxy phone number sessions that route calls and text messages between workers and customers without revealing either party's real phone number
- Automatic session expiration at the end of configured business hours
- Logging and monitoring of interactions through proxy numbers, including automated scanning for anti-poaching behavior
- A dashboard for managing workers, sessions, and reviewing interaction logs
- Alert notifications via email and SMS when suspicious interactions are detected
3. Account Registration
3.1 Eligibility
You must be at least 18 years old and capable of forming a legally binding agreement to use the Service. The Service is designed for business use — you must operate or manage a legitimate business that dispatches workers to customer locations.
3.2 Account Responsibility
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately if you become aware of any unauthorized use.
3.3 Accurate Information
You agree to provide accurate, current, and complete information during registration and to keep your account information updated. We reserve the right to suspend or terminate accounts that contain false or outdated information.
4. Subscription Plans and Billing
4.1 Plans
The Service is offered through tiered subscription plans with varying worker limits and feature sets. Current plans and pricing are displayed on our website. We reserve the right to change pricing with 30 days' notice.
4.2 Free Trial
New accounts include a 14-day free trial. No credit card is required to start a trial. During the trial, you have access to the features of the plan you select. At the end of the trial, you must subscribe to continue using the Service.
4.3 Billing
Subscriptions are billed monthly through Stripe. By subscribing, you authorize us to charge your selected payment method on a recurring monthly basis. Payments are non-refundable except as required by law or as described in our refund policy.
4.4 Cancellation
You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until the end of your paid period. There are no cancellation fees.
4.5 Telephony Costs
Subscription fees cover the platform and a standard allocation of proxy phone numbers. We reserve the right to implement usage-based pricing for telephony costs (phone numbers, call minutes, SMS messages) that exceed reasonable usage thresholds. We will notify you before any usage-based charges apply.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or ordinance — including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and state telemarketing laws
- Make robocalls, auto-dialed calls, or unsolicited telemarketing calls through proxy numbers
- Send spam, bulk unsolicited messages, or phishing messages through proxy numbers
- Harass, threaten, or abuse customers, workers, or any other person through the Service
- Use proxy numbers for any purpose other than legitimate business communications between your workers and your customers
- Attempt to circumvent session expiration, proxy number allocation limits, or other platform restrictions
- Reverse-engineer, decompile, or attempt to extract the source code of the Service
- Use the Service to collect personal information about individuals without their knowledge or consent
- Share your account credentials with unauthorized parties
- Resell or sublicense access to the Service without our written permission
6. Anti-Poaching Monitoring
6.1 Consent to Monitoring
A key feature of the Service is monitoring proxy communications for signs that a worker may be attempting to contact customers directly outside the platform. By using the Service, you acknowledge and agree that:
- SMS messages sent through proxy numbers will be scanned for patterns indicating direct contact attempts, including phone numbers, social media handles, and payment app references
- Call metadata (time, duration, frequency) will be logged and analyzed
- Voice calls are not recorded — only metadata is captured
- Alerts generated by the scanning system are informational and may include false positives — they are not legal determinations
6.2 Your Responsibility to Inform Workers
You are solely responsible for informing your workers that their communications through proxy numbers are subject to monitoring and scanning. You must comply with all applicable laws regarding employee monitoring, notice requirements, and consent. DayLine provides the monitoring technology — compliance with employment and privacy laws is your responsibility.
6.3 No Legal Advice
Anti-poaching alerts are not legal evidence or legal advice. They are automated pattern-detection indicators. How you act on alerts — including any employment decisions — is your responsibility. DayLine is not liable for actions you take based on alert information.
7. Telephony Compliance
7.1 A2P Messaging Registration
SMS messaging through proxy numbers requires A2P (Application-to- Person) 10DLC registration with carriers. DayLine manages this registration process on your behalf as part of the onboarding workflow. You agree to provide accurate business information required for registration. Approval is subject to carrier review and is not guaranteed.
7.2 Compliance with Telecommunications Law
You are responsible for ensuring your use of proxy numbers complies with all applicable telecommunications laws, including but not limited to the TCPA, FCC regulations, and state-level telemarketing and communication laws. You must not use the Service for purposes that would violate these laws.
8. Intellectual Property
The Service, including its design, code, features, documentation, and branding, is owned by DayLine and protected by copyright, trademark, and other intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose during your subscription period.
You retain ownership of all data you submit to the Service (business information, worker data, etc.). You grant us a limited license to use this data solely to provide and improve the Service.
9. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Service, you consent to the data practices described in the Privacy Policy.
10. Service Availability and Modifications
10.1 Uptime
We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may experience downtime for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned maintenance in advance.
10.2 Modifications
We reserve the right to modify, suspend, or discontinue any feature of the Service at any time. If we make changes that materially reduce the functionality of your current plan, we will provide at least 30 days' notice and you may cancel without penalty.
11. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of revenue, lost customers, worker misconduct, or business disruption.
- Our total liability to you for any claims arising from the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.
- We are not liable for actions taken by workers, customers, or third parties using or interacting with proxy numbers.
- We are not liable for failures or delays caused by Twilio, carrier networks, or other third-party telecommunications infrastructure.
12. Indemnification
You agree to indemnify and hold harmless DayLine, its officers, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law, including employment, telecommunications, and privacy laws
- Your failure to inform workers about proxy communication monitoring
- Any dispute between you and your workers or customers
13. Termination
13.1 By You
You may terminate your account at any time by canceling your subscription and contacting us to request account deletion. Active proxy sessions will be terminated immediately upon account closure.
13.2 By Us
We may suspend or terminate your account immediately if you:
- Violate these Terms or our Acceptable Use policy
- Use the Service for illegal purposes, including TCPA violations
- Fail to pay subscription fees after notice
- Engage in activity that harms other users or our infrastructure
We will make reasonable efforts to notify you before termination, except where immediate action is necessary to prevent harm or comply with legal obligations.
13.3 Effect of Termination
Upon termination, all proxy sessions are immediately deactivated, proxy numbers are released, and access to the dashboard is revoked. Interaction logs are retained for 90 days after termination, after which they are deleted. Billing records are retained as required by law.
14. Dispute Resolution
Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in the State of Delaware.
You agree to resolve disputes on an individual basis and waive any right to participate in a class action or class-wide arbitration.
15. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any legal proceedings not subject to arbitration shall be brought in the state or federal courts located in Delaware.
16. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through a prominent notice on our website at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.
17. Miscellaneous
- Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and DayLine regarding the Service.
- Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect.
- Waiver. Our failure to enforce any provision of these Terms does not waive our right to enforce it in the future.
- Assignment. You may not assign your rights or obligations under these Terms without our written consent. We may assign our rights and obligations without restriction.
- Force Majeure. We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, telecommunications failures, government actions, or carrier outages.
